Terms of Service

Forge is a business-to-business software platform operated by Trusted Data Technologies Ltd. Forge provides tools that enable businesses to create, review, manage, approve and publish content, including content generated using artificial intelligence technologies. These Terms of Service ("Terms") govern your access to and use of Forge. By creating an account, accessing Forge, purchasing credits, or using any part of the Services, you agree to these Terms.

1.2 Business users only

Forge is provided solely for business, commercial and professional use. By using Forge, you confirm that:

• you are acting for purposes relating to a trade, business, profession or organisation;
• you are not acting as a consumer;
• you are at least 18 years old; and
• you have authority to enter into this agreement on behalf of yourself or the organisation you represent.

If you use Forge on behalf of an organisation, that organisation is the contracting party ("Client") and you confirm that you have authority to bind that organisation.

• Account means the account created to access Forge.
• Client, you or your means the business or organisation using Forge.
• Credits means prepaid usage units that allow access to certain Forge functionality. Credits are not money, currency, stored value, deposits or financial instruments.
• Connected Platforms means third-party platforms integrated with Forge, including LinkedIn, X, Facebook, Instagram, Threads or any other platform made available from time to time.
• Customer Data means information, materials, text, instructions, files or data submitted by you into Forge.
• Output means content, drafts, text, media, suggestions or other material generated through Forge.
• Services means the Forge platform and related functionality.

Forge provides software tools which may allow Clients to:

• create content;
• generate AI-assisted content;
• manage content workflows;
• approve content;
• publish content through Connected Platforms;
• analyse or manage content activity.

The Services may change over time as Forge develops, improves or modifies the platform.

3.2 Changes to Services

We may introduce new features, remove features, modify functionality, change technical requirements, or discontinue integrations. Where reasonably practical, we will provide notice of material changes. You acknowledge that Forge is a developing technology platform and functionality may change.

3.3 No guaranteed outcomes

Forge does not guarantee increased followers, engagement, leads, sales, revenue, customer acquisition, search ranking, audience growth, successful publication, or approval by Connected Platforms. Any examples, demonstrations or projections are illustrative only.

4.1 Account responsibility

You are responsible for maintaining account security, keeping login details confidential, ensuring authorised users comply with these Terms, and all activity conducted through your Account. You remain responsible even where activity occurs through an authorised user.

4.2 Account sharing

Unless expressly authorised by Forge: accounts may not be shared between unrelated organisations; access credentials may not be transferred; accounts may not be used as a service bureau for third parties. You must not create multiple accounts to avoid usage limits, credit requirements, restrictions, or suspension.

4.3 Security incidents

You must notify Forge promptly if you believe your Account has been compromised, credentials have been disclosed, or unauthorised access has occurred.

You are responsible for:

• ensuring your use of Forge complies with applicable laws;
• reviewing all Output before use or publication;
• ensuring Output is accurate, appropriate and suitable for your intended purpose;
• obtaining all necessary rights, licences and permissions for Customer Data;
• ensuring your use of Connected Platforms complies with their terms;
• ensuring that individuals authorised to use your Account comply with these Terms.

6.1 AI limitations

You acknowledge that artificial intelligence systems are probabilistic technologies. Output may contain errors, contain inaccurate information, be incomplete, require editing, be unsuitable for publication, or resemble content generated for other users. Forge does not guarantee that Output will be unique, accurate, lawful or free from third-party rights issues.

6.2 Human review requirement

You are solely responsible for reviewing, approving and deciding whether to use or publish Output. You must not publish Output without appropriate review. Forge is not responsible for consequences arising from your decision to publish, distribute or rely upon Output.

6.3 No professional advice

Forge does not provide legal, medical, financial, regulatory, investment, or other professional advice of any kind. Any Output relating to regulated topics must be reviewed by an appropriately qualified professional before use.

7.1 Forge ownership

Forge owns and retains all rights, title and interest in the Forge platform, software, infrastructure, systems, algorithms, models, workflows, processes, methodologies, prompts, templates, documentation, improvements, and know-how. Nothing in these Terms transfers ownership of Forge technology.

7.2 Customer Data

You retain ownership of Customer Data. You grant Forge a limited, worldwide licence to process Customer Data solely to provide the Services, maintain the platform, improve reliability, provide customer support, and comply with legal obligations.

7.3 Output ownership

Subject to your compliance with these Terms and payment of applicable charges, Forge assigns to you any rights Forge may have in Output generated specifically for your Account. This assignment does not include Forge technology, underlying models, systems, software, methods, general improvements, or knowledge gained through operating the platform.

7.4 AI training and service improvement

Forge may use aggregated, anonymised and de-identified information derived from use of the Services to improve Forge, develop functionality, maintain performance, and improve security. Forge will not use identifiable personal data, Client confidential information, or private business configuration information to train general-purpose models.

Each party may receive confidential information belonging to the other party, including business, technical, commercial, and customer information, strategies, processes, and non-public materials. Each party agrees to keep confidential information secure, use it only for the purposes of this agreement, and not disclose it except where permitted. This does not include information which is publicly available, was already lawfully known, is independently developed, or must be disclosed by law.

Each party shall comply with applicable data protection laws, including UK GDPR and the Data Protection Act 2018. You are responsible for ensuring that Customer Data is collected lawfully, that you have appropriate permissions, and that instructions provided to Forge are lawful. Where Forge processes personal data on your behalf, the parties' obligations will be governed by applicable data protection requirements and any applicable Data Processing Addendum.

You must not use Forge to create, distribute or publish content that:

• promotes illegal activity;
• facilitates fraud or deception;
• infringes third-party intellectual property rights;
• unlawfully discloses personal information;
• promotes violence or harm;
• contains unlawful discriminatory material;
• impersonates individuals or organisations deceptively;
• violates Connected Platform rules;
• attempts to reverse engineer, scrape or abuse Forge.

Forge may suspend or terminate access where it reasonably believes these requirements have been breached.

Forge may integrate with third-party platforms and services, including social media platforms, APIs, hosting providers, payment providers and other external services ("Third-Party Services"). Your use of Third-Party Services is subject to the terms and policies of those third parties.

11.2 No responsibility for third-party platforms

You acknowledge that Forge has no control over Third-Party Services. Forge is not responsible for outages, API failures, API changes, access restrictions, platform policy changes, algorithm changes, content moderation decisions, account restrictions, account suspensions, removal of published content, or reduced visibility or reach.

11.3 Platform account responsibility

You remain responsible for maintaining your accounts with Connected Platforms, ensuring your accounts comply with applicable platform rules, granting appropriate permissions to Forge, and monitoring activity occurring on Connected Platforms. Forge does not guarantee that content submitted through Forge will be accepted, published, displayed, distributed or promoted by any Connected Platform.

11.4 Publishing failures

Where Forge receives a technical failure response from a Connected Platform preventing publication, Forge may restore the relevant Credit in accordance with the Payment & Credits Terms. This does not apply where publication was successful, the Connected Platform later removes or restricts content, your account is restricted by a Connected Platform, or the issue arises from your content or account.

Forge may investigate suspected misuse, restrict functionality, remove content, suspend access, or terminate Accounts. Forge is not required to monitor all activity or proactively review all Output. Forge may take immediate action where reasonably necessary to protect Forge, its users, third parties, security, legal compliance, or reputation.

13.1 Suspension rights

Forge may suspend or restrict access immediately where you breach these Terms or acceptable use requirements, payment obligations are overdue, your use creates security or legal/regulatory risk, or where required by a Connected Platform, payment provider or law enforcement authority.

13.2 Termination by Forge

Forge may terminate this agreement where a material breach cannot reasonably be remedied, you repeatedly breach these Terms, continued provision of Services creates unacceptable risk, or required by law.

13.3 Termination by Client

You may stop using Forge at any time. Account closure does not entitle you to refunds except where expressly required under these Terms or applicable law. Unused Credits are handled according to the Payment & Credits Terms.

13.4 Effect of termination

Upon termination, your right to access Forge ends, you must stop using the Services, and outstanding payment obligations remain payable. Provisions intended to survive termination continue, including intellectual property provisions, confidentiality, liability limitations, indemnities, and governing law.

Forge is provided on an "as available" basis. We do not guarantee that the Services will always be uninterrupted or error-free, that defects will always be corrected, or that the Services will meet every business requirement. Forge may temporarily suspend access for maintenance, updates, security measures, or technical improvements. Where reasonably practical, Forge will provide notice.

You acknowledge that software may contain defects, AI-generated content requires human review, internet services can fail, and third-party platforms may change without notice. To the maximum extent permitted by law, Forge excludes all warranties, representations and conditions relating to accuracy, suitability, availability, uninterrupted operation, commercial outcomes, or fitness for purpose.

You agree to indemnify and keep indemnified Forge, its directors, employees, contractors and affiliates against losses, damages, liabilities, costs and expenses arising from your Customer Data; your instructions to Forge; your use or publication of Output; your breach of these Terms or applicable law; infringement of third-party rights caused by your materials or use of the Services; or breach of Connected Platform terms. Forge will notify you of relevant claims where reasonably practicable and provide reasonable cooperation. You remain responsible for managing and resolving claims covered by this indemnity.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability which cannot legally be excluded.

Subject to the above, Forge's total aggregate liability arising out of or relating to these Terms, whether in contract, negligence, tort or otherwise, shall not exceed the greater of: (a) the total fees paid by you to Forge during the 12 months immediately preceding the event giving rise to the claim; or (b) £500.

To the maximum extent permitted by law, Forge shall not be liable for loss of profits, revenue, business, opportunity, or goodwill, reputational damage, loss of anticipated savings, indirect or consequential losses, or losses caused by Connected Platforms. Forge shall also not be liable for inaccuracies in Output, decisions made using Output, failure of Output to achieve business objectives, or third-party claims arising from Customer publication decisions.

Forge shall not be liable for failure or delay caused by events outside its reasonable control, including internet failures, cloud provider failures, cyber incidents, natural disasters, government action, regulatory changes, labour disputes, or third-party service failures.

Forge may transfer or assign this agreement as part of a merger, acquisition, corporate restructuring, or sale of business assets. You may not transfer your rights without Forge's written consent. Forge may use subcontractors and service providers to deliver the Services, and remains responsible for its obligations under these Terms.

These Terms together with the Payment & Credits Terms constitute the entire agreement between you and Forge regarding the Services. Forge may update these Terms from time to time; where changes are material, Forge will provide reasonable notice, and continued use of Forge after changes take effect constitutes acceptance.

If any provision is found invalid or unenforceable, the remaining provisions remain effective. Failure to enforce any provision does not waive the right to enforce it later. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

These Terms and any dispute arising from them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
